When registering a company in Romania, entrepreneurs must provide a virtual office address. This address is used by authorities to communicate with the company, appears on all tax and commercial documents, and determines which court has jurisdiction over actions against the company.
Here are the options for registering a virtual office under Romanian law and the key considerations for each.
Virtual Office in an Apartment or House
A founder can use their own residence as the virtual office. To do this, the property-owning entrepreneur must sign a lease agreement between themselves and the company being established and attach documents proving ownership of the property.
These documents do not need to be notarized; it is sufficient that they are signed by all parties. If the property is in an apartment building, the Trade Register will require the neighbors’ consent to carry out business activities in a residential space.
Virtual Office at a Lawyer’s Office
You can use a lawyer’s office as your virtual office if your company has signed a legal services agreement with the lawyer. This address is valid for one year, after which it must be changed.
This option is available for all legal forms of company organization except for individual entrepreneurs (PFA and II).
Office Space Rental
To register a legal office address, a lease agreement or property ownership certificate is sufficient.
You can also rent a space in a coworking or business hub—the law does not require a separate room for your company. This means multiple companies can be registered at a single address simultaneously.
Virtual Office Hosting
With this option, you do not rent the office itself but the right to use it as a virtual office address. This service is much cheaper than renting an office or coworking space.
The hosting company independently receives correspondence and forwards it to authorized recipients.
Additionally, the intermediary monitors the timely renewal of the virtual office validity. Failure to renew on time can cause problems: ANAF (Romanian tax authorities) may declare the company inactive, creating difficulties with tax registration until the business is fully dissolved.
